TERMS OF SERVICE

1. GENERAL PROVISIONS
1.1. These Terms of Service (hereinafter referred to as the "Terms") constitute a legally binding agreement between Sole Proprietor Yuri Klimenko German (Registration No. 264.1297939, Tax ID: 72978355), located at RA, Yerevan, Kievyan str., 2, apt. 18 (hereinafter referred to as the "Provider", "we", "us"), and the user (hereinafter referred to as the "User", "you"), regulating the use of the "MEMO" service via the Telegram bot @memo_photo_bot (hereinafter referred to as the "Service").
1.2. By starting the bot, uploading photos, or making a payment, you fully and unconditionally accept these Terms. If you do not agree, you must stop using the Service immediately.
2. DESCRIPTION OF SERVICE
2.1. The Service allows Users to upload static images (photos) to be processed and "animated" using artificial intelligence technologies to create short video files.
2.2. The Service is provided on an "as is" basis. The Provider does not guarantee that the result will meet the User's subjective aesthetic expectations.
3. USER OBLIGATIONS AND RESTRICTIONS
3.1. You agree to use the Service only for personal, non-commercial purposes.
3.2. You must not:
* Upload illegal, offensive, or prohibited content.
* Violate third-party rights (copyrights, privacy rights).
* Reverse engineer, decompile, or attempt to derive the source code of the Service.
* Use the generated videos for commercial purposes (e.g., selling them or creating NFTs) without written permission.
4. INTELLECTUAL PROPERTY
4.1. User Content: You retain full ownership of the original photos you upload. However, by uploading, you grant the Provider a worldwide, non-exclusive, royalty-free license to use these images for processing, generating videos, and training/improving the AI algorithms.
4.2. Generated Content: Upon creation, the copyright for the generated video belongs to the User. You grant the Provider a license to use generated videos for marketing and promotional purposes.
4.3. Service IP: The Provider owns all rights to the bot's code, design, and AI models.
5. PAYMENT AND REFUND POLICY
5.1. Services are paid via the payment methods available in the bot interface. Prices are displayed at the time of purchase.
5.2. Refunds: Due to the digital and automated nature of the Service, all sales are generally final and non-refundable once the processing has started.
5.3. Exceptions: A refund may be considered only if the Service technically failed to deliver the result due to the Provider's fault. To request a refund, contact support at @memo_zabota or email egor@thesavchuk.com with proof of payment.
6. LIMITATION OF LIABILITY
6.1. To the maximum extent permitted by law, the Provider shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Service.
6.2. We are not responsible for temporary downtime caused by technical maintenance or force majeure.
7. GOVERNING LAW AND DISPUTE RESOLUTION
7.1. These Terms are governed by the laws of the Republic of Armenia.
7.2. Any disputes shall first be resolved through pre-trial negotiations. If a resolution is not reached within 30 days, the dispute shall be settled in the courts of the Republic of Armenia.
